1. Who you are contracting with
ValetOS ("the Service") is operated by SW Mobile Valeting LTD ("we", "us", "our"), a company registered in England and Wales, trading as ValetOS. By creating an account or using the Service you enter into a contract with SW Mobile Valeting LTD on these terms.
2. Acceptance
By registering for, accessing or continuing to use the Service you agree to these terms. If you are accepting on behalf of a business, you confirm you have authority to bind that business. If you are contracting as an individual you confirm you are at least 18 years old.
3. The Service
ValetOS is subscription software for mobile valeting and detailing businesses. It provides a branded booking page, a diary and availability engine, customer records, staff job cards, reporting and related tools. Features available to you depend on the plan you select.
4. Your account
You must provide accurate registration details and keep them up to date. You are responsible for keeping your login credentials confidential and for all activity that takes place under your account and under accounts you create for your staff.
5. Acceptable use
You must not misuse the Service. In particular, you must not:
- use the Service for any unlawful purpose or in breach of any applicable law or regulation;
- send spam, engage in fraud, or upload deceptive or misleading content;
- infringe the intellectual property or privacy rights of any person;
- interfere with the security or integrity of the Service, including introducing malware, probing or scanning our systems, bypassing technical limits, or scraping data;
- reverse engineer, resell, sublicense or redistribute the Service.
6. Licence
We grant you a limited, non-exclusive, non-transferable right to use the Service for your own business during your subscription, within the limits of your chosen plan.
7. Your content and your customers' data
You retain ownership of the content and customer records you put into the Service. You grant us a limited licence to host and process that content solely so we can provide the Service to you. You are responsible for ensuring you have the right to upload it, including any photographs taken during jobs.
8. Intellectual property
We retain all ownership of the Service, its software, documentation, design and branding. Nothing in these terms transfers any of our intellectual property to you.
9. Payment, billing and subscriptions
Subscriptions are billed monthly in advance from the end of any free trial. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. See also our Refund Policy.
You can cancel at any time; cancellation takes effect at the end of your current billing period. If a payment fails we will allow a 14-day grace period before your account and public booking page are placed on hold.
10. Service level
We work hard to keep ValetOS available, but we do not guarantee that the Service will be uninterrupted, timely or error-free. Maintenance, third-party outages and factors outside our control may affect availability.
11. Warranties
To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, satisfactory quality and fitness for a particular purpose.
12. Liability
To the fullest extent permitted by law, our aggregate liability arising out of or in connection with the Service is limited to the subscription fees you paid in the 12 months before the claim. We are not liable for indirect, consequential or special losses, including loss of profits, revenue, data or goodwill. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
13. Indemnity
You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these terms.
14. Suspension and termination
We may suspend or terminate your access for material breach of these terms, non-payment after the grace period, suspected fraud or security risk, or repeated or serious policy violations. On termination your access ends; you may export your data for 30 days, after which it may be deleted.
15. Changes
We may update these terms from time to time. Material changes will be notified by email or in-app before they take effect.
16. General
You may not assign these terms without our consent; we may assign them as part of a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
